KAISHI INNOVATIONS • TERMS OF SERVICEEFFECTIVE DATE: 2026
Applies To: All services, systems, software engineering, business advisory, marketing integrations, and digital platforms provided by Kaishi Innovations.
SECTION 1: ACCEPTANCE OF TERMS
By accessing our official website, engaging with our team, or entering into a service agreement with Kaishi Innovations, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you are prohibited from using our services.
SECTION 2: SCOPE OF SERVICES
Kaishi Innovations provides end-to-end corporate and technical solutions, including:
- Custom Software Engineering & System Development: Building scalable applications, enterprise systems, POS systems, medical lab platforms, and mobile/web solutions.
- UI/UX Design & System Architecture: Prototyping user interfaces, wireframing, and establishing cloud technical stacks (AWS/Azure).
- Business Advisory & Growth Consulting: Strategic planning, operational optimization, and corporate scaling advisory.
- Marketing & Integration Services: Digital brand growth and promotional execution.
- ISO Compliance Integration: Designing software and corporate workflows to align with international ISO standards (such as ISO 9001 and ISO 27001 readiness).
SECTION 3: PROJECT ENGAGEMENTS, MILESTONES & PAYMENTS
- Statements of Work (SOW): Every project requires a mutually agreed-upon project scope, timeline, and cost structure outlined in a formal SOW or contract.
- Milestone Billing: Payments are structured based on project milestones (e.g., initial deposit, UI/UX sign-off, beta release, and final production handover).
- Delays & Scope Changes: Any additions or modifications requested outside the original SOW will be treated as a change request and may incur additional costs and timeline adjustments.
SECTION 4: INTELLECTUAL PROPERTY (IP) & OWNERSHIP
- Client IP: The client retains full ownership of all proprietary data, pre-existing brand assets, and content provided to Kaishi Innovations.
- Deliverables Handover: Upon full and final settlement of all financial dues specified in the project agreement, Kaishi Innovations assigns to the client full ownership rights of the custom source code and specific application deliverables created for the project.
- Proprietary Frameworks: Kaishi Innovations retains exclusive ownership of its pre-existing development tools, core libraries, generic code snippets, and proprietary methodologies used to build the software.
SECTION 5: CLIENT RESPONSIBILITIES & COOPERATION
- Timely Feedback: Clients must provide necessary feedback, approvals, and content assets within agreed-upon timeframes to prevent project delays.
- Accuracy of Information: Clients are solely responsible for ensuring that all data, business logic, and operational requirements provided to Kaishi Innovations are accurate and legally compliant.
SECTION 6: LIMITATION OF LIABILITY
Kaishi Innovations provides its software engineering, advisory, and marketing services with professional care and in alignment with ISO quality frameworks. However, to the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, or consequential damages arising from third-party server failures (e.g., AWS/Azure downtime), unauthorized external breaches, or misuse of deployed systems by end-users.
- Our total aggregate liability for any direct claim under a project agreement shall not exceed the total fees paid by the client for that specific project.
SECTION 7: CONFIDENTIALITY & DATA SECURITY
Both Kaishi Innovations and the client agree to protect confidential information, source codes, and business strategies as outlined in our Mutual Non-Disclosure Agreement (NDA) and Global Privacy Policy. We implement strict Role-Based Access Control (RBAC) and data encryption standards across all remote and physical operations.
SECTION 8: TERMINATION
- By Client or Kaishi Innovations: Either party may terminate a project agreement in writing if the other party commits a material breach of these terms and fails to cure such breach within fourteen (14) days of notice.
- Post-Termination: Upon termination, the client shall pay for all work completed up to the date of termination, and both parties shall return or securely purge confidential information belonging to the other.
SECTION 9: GOVERNING LAW & JURISDICTION
These Terms of Service shall be governed by and construed in accordance with applicable commercial laws. Any legal disputes shall be resolved through good-faith arbitration or negotiation between authorized representatives of Kaishi Innovations and the client.
SECTION 10: MODIFICATIONS TO TERMS
Kaishi Innovations reserves the right to modify or update these Terms of Service at any time. Continued use of our website or active project engagement following any modifications constitutes acceptance of the updated terms.
